OmniAgency Terms of Service

1. Acceptance of Terms

By accessing or using OmniAgency (the "Service"), operated by OmniSportsGroup ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including athlete management organizations, sports agents, athletes, and their representatives.

2. Description of Service

OmniAgency is a software-as-a-service (SaaS) platform designed for athlete management firms. The Service provides tools for managing athlete profiles, NIL (Name, Image, and Likeness) deals, contracts, events, client relationships, and communications including SMS messaging.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. SMS/Text Messaging Terms

Message Frequency: Message frequency varies based on your activity and preferences.

Message and Data Rates: Standard message and data rates may apply. Please consult your mobile carrier for details about your text and data plan.

Opt-Out: You may opt out of receiving SMS messages at any time by replying "STOP" to any message you receive from us, or by updating your notification preferences in your account settings. Upon opting out, you will receive a confirmation message and will no longer receive SMS messages from us unless you opt back in.

Supported Carriers: The Service is supported by major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or messages to anyone who has not opted in
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Upload malicious code, viruses, or harmful data
• Collect personal information without consent
• Use the Service for any illegal or unauthorized purpose

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of OmniSportsGroup and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

You retain ownership of any data you upload to the Service. By uploading content, you grant us a license to use, store, and display that content solely for the purpose of providing the Service to you.

7. Payment Terms

Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay the applicable fees. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, we may delete your data after a reasonable retention period, unless required by law to retain it.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNISPORTSGROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless OmniSportsGroup, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after changes constitutes acceptance of the modified Terms.
